Step 1 – Reservation

Step 2 – Purchase price

Advance payment or guarantee

Based on the information you provide in the questionnaire, we will prepare the documents for the acquisition of your shelf company. For the payment of the purchase price or its security, you can choose from the following options:

  • Advance payment: The purchase price for the shelf-UG is paid to us in advance.
  • Security for Payment: A law firm, tax consultancy, or auditing firm established in Germany guarantees the payment of the purchase price and assumes joint personal liability.
  • Suspensive condition: The shares in the shelf company are transferred subject to the suspensive condition of the purchase price payment.

Once we have all the necessary information from you, the notarization appointment for the purchase and transfer agreement will take place.

Step 3 – Notary appointment

Notarization of the purchase agreement and registration with the commercial register

The notary will notarize the purchase and transfer agreement we have prepared, the resolutions to amend the articles of association (including: new management, new company name, and new business purpose), and will certify the Commercial Registry registration of the new managing director. Afterward, the notary will submit the documents to the Commercial Register.

  • Original company documents (registration notice from the commercial register, certificate of incorporation, certified copies, account opening documents)

  • Purchase and transfer agreement (German/English)
  • Powers of attorney

Buy a shelf-UG with a bank account

The share capital has been fully paid into the bank account of the shelf-UG. To offer you the best solution, we collaborate with various banks to establish our companies. You can choose whether to close or take over the bank account. If you wish to close the bank account quickly, we offer a unique account model with an easy termination option, the "order check option."

The new management will receive an order check from us, which can be cashed at their bank.
