We offer the shelf-GmbH & Co. KG in two versions: either with the existing general partner GmbH or without the founding general partner (exchange model). The purchase price is €2,000 for the version without a general partner GmbH and €29,500 for the version including the general partner GmbH.
The purchase price may increase depending on the additional services requested. Upon request, we also establish holding structures, enabling you to acquire an entire corporate group. Our team is happy to advise you on the best setup for your needs.
By purchasing a shelf-GmbH & Co. KG, we take on the formation risk for you. All companies have been established as open, permissible shelf formations and are free of liabilities, as they have not yet been economically active – making them guaranteed to be free of burdens and risks for you.
The limited partner contribution of our GmbH & Co. KG is €300. In the version with a general partner GmbH, the additional share capital amounts to €25,000. After the acquisition, the full amount remains available in the company's bank account without deductions.

A shelf-GmbH & Co. KG is a limited partnership in which the GmbH acts as the general partner with unlimited liability. The company is already established, registered in the Commercial Register, and has not been economically active, allowing for a quick start.
Our shelf-GmbH & Co. Kgs usually do not have a tax number, as they have not been registered with the tax authorities. After the acquisition, you will need to register the company with the responsible tax office, apply for a tax number, and if necessary, a VAT ID. The tax number is issued by the tax office where the company is managed. In Berlin, different tax offices are responsible, and they may issue a new tax number if one already exists. With the commencement of business activities, the VAT pre-registration must also be submitted.

In Frankfurt am Main, we offer the option to attend the notarization appointments for the shelf GmbH in person for a small fee, if desired.
