What Is the Transparency Register?

The Transparency Register is a central electronic register designed to make the beneficial owners of companies in Germany transparent. Introduced as a mandatory register in 2017, it became what is known as a full register in August 2021. Since then, it has been the sole and authoritative source of information on the ownership structures of legal entities.

Beneficial owners are individuals who hold more than 25% of a company’s shares or voting rights, or who otherwise exercise comparable control. If there is no such person, the legal representatives—such as managing directors—are deemed to be the beneficial owners. Importantly, the Transparency Register must not be left blank. An active notification is mandatory.

The aim is to combat money laundering and terrorist financing by increasing transparency in the corporate sector.

Who is required to report and what information must be provided?

Entities required to report include:

  • Corporations (e.g. GmbH, UG, AG)

  • Registered partnerships (e.g. OHG, KG, GmbH & Co. KG, partnerships under the German Partnership Act, and registered GbRs)

  • Foundations, cooperatives, and registered associations

The following information must be reported for each beneficial owner:

  • First and last name

  • Date of birth

  • Place of residence (primary residence)

  • Nationalities

  • Nature and extent of the beneficial interest

This information must always be kept up to date. Any changes—for example, involving managing directors or shareholders—must be reported without undue delay.
